Service Level Commitment:
- 4 email questions/mo (response within 24 hours or less, 7 days per week, guaranteed)
- 1, 1-hour monthly check-in call with the leadership team (scheduled in advance, M-Th 7:30 am to 7:30 pm)
- 3 contract reviews per month
- Annual “Legal Check-Up”
Subscription Fee:
$3,000/month (cancel anytime)
Counsel

For the high-growth company in need of an executive-level business lawyer to support their senior team on a consistent basis.
Service Level Commitment:
- Unlimited email questions (response within 24 hours or less, 7 days per week, guaranteed)
- 2 monthly check-in calls with leadership team (scheduled in advance, M-Th 7:30 am to 7:30 pm)
- 4 contract reviews per month
- Annual “Legal Check-Up”
- 1 half-day strategic planning session with senior management team per year
- 15% discount on hourly rate for any work outside of the Counsel offering (including exit transaction)

$5,000/month (minimum 3 month commitment)
Chief Legal Officer

Service Level Commitment:
- Unlimited email questions (response within 24 hours or less, 7 days per week, guaranteed)
- Weekly check-in calls with leadership team (scheduled in advance, M-Th 7:30 am to 7:30 pm)
- Attendance at all monthly, quarterly and annual leadership meetings
- Unlimited contract reviews per month
- Annual “Legal Check-Up”
- 1 full-day strategic planning session with senior management team per year
- Pre-Sale Due Diligence Review
- Personal Legal Review (for ownership group)
- 20% discount on hourly rate for any work outside of the Counsel offering (including exit transaction)

For the Company that is a year or more away from a potential exit transaction, we offer a sell-side Due Diligence Review package that includes the following:
- Due Diligence process and checklist overview
- Assistance building in-house Data Room
- Detailed review of customary purchase agreement reps and warranties
- Internal diligence review of contracts and related diligence materials to identify and address risk
- Coordinate with third-party service providers to conduct pre-sale tax, accounting and quality of earnings review (third-party advisor fees billed separately)
- Assist interviews and negotiation with sell-side M&A advisor/investment banking firms

Flat Project-Based Fee based upon Scope of Work
(Basic) Advisor – For the high-growth company that is several years away from exit, but needs help with business legal matters on a monthly basis. 4 email questions (response within 24 hour or less, 7 days per week, guaranteed). 1 monthly check-in call with the leadership team (scheduled in advance, up to one hour, M-Th 7:30 am to 7:30 pm); 3 contract reviews per month; annual “Legal Check-Up”. $3,000/month (cancel any time).
(Mid) Counsel – for the high-growth company in need of a business lawyer to support their senior team. The Counsel Package includes: unlimited emails (same response guarantee); 2 monthly check-in calls (same duration/scheduling); 4 contract reviews; Annual Legal Check-Up; 1 half-day strategic planning session with the senior management team; 15% discount on hourly rate for any work outside of the Counsel offering. $5,000/month (minimum 3 month commitment).
(Premium) Chief Legal Officer – for the high-growth company that is firing on all cylinders and needs a c-level executive to join there leadership team. The CLO package includes: unlimited email questions; weekly check-in calls with senior leadership; attendance at all monthly, quarterly and annual leadership team meetings; Pre-Sale Due Diligence Review and Project Management; Personal Legal Review (estate planning, etc.) for Owner(s). $10,000/month (minimum 6-month commitment).
